These Terms of Use (“Terms”) govern your access to and use of https://ezPOD.app (the “Website”) and the Software as a Service (SaaS) platform provided by TRENT VENTURES LLC (“we,” “us,” or “our”) for storing and managing Proof of Delivery files for materials delivered to job sites (the “Service”). By accessing or using the Website or Service, you agree to be bound by these Terms. If you do not agree, do not use the Website or Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

2. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not sublicense, distribute, or otherwise transfer this license.

3. Account Registration

To use the Service, you must register for an account and provide accurate and complete information, including your email address, phone number, business name, and physical addresses. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use of your account.

4. User Content

a. Ownership: You retain ownership of any data, files, or information you upload to the Service, including Proof of Delivery files and related information (“User Content”).
b. License to Us: By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and use such User Content to provide and improve the Service, in accordance with our Privacy Policy.
c. Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that your User Content does not violate any applicable laws or third-party rights.

5. Prohibited Conduct

You agree not to:

Use the Service for any unlawful or unauthorized purpose.
Upload, transmit, or distribute any content that is harmful, defamatory, infringing, or otherwise objectionable.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Interfere with or disrupt the operation of the Website or Service, including through viruses, malware, or other harmful code.
Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.

6. Intellectual Property

The Website and Service, including all software, content, and materials (excluding User Content), are owned by TRENT VENTURES LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

7. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, for any violation of these Terms or for any other reason. Upon termination, your license to use the Service will cease, and you must stop accessing the Service. Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, limitation of liability) will remain in effect.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that Proof of Delivery files will be preserved indefinitely.

9. Limitation of Liability

To the fullest extent permitted by law, TRENT VENTURES LLC and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Website or Service, including loss of data, profits, or business opportunities. Our total liability for any claim arising under these Terms will not exceed the amount paid by you for the Service in the preceding twelve (12) months.

10. Indemnification

You agree to indemnify and hold harmless TRENT VENTURES LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, or liabilities arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in the State of Wyoming. You agree to waive any right to a jury trial and to participate in any class action lawsuits against us.

12. Modifications to the Terms

We may update these Terms from time to time. The updated version will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website or Service after such changes constitutes your acceptance of the updated Terms.

13. Miscellaneous

a. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TRENT VENTURES LLC regarding the Website and Service.
b. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
c. No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
